  299. 9. Termination.

  317. referred to herein as Respondent) alleging that Licensed Product

  320. License shall terminate prospectively upon sixty (60) days notice from
  321. Respondent (the "Notice Period") unless within that Notice Period you

  324. made by such Respondent, or (ii) withdraw your litigation claim with
  325. respect to Licensed Product against such Respondent. If within said
  326. Notice Period a reasonable royalty and payment arrangement are not

  328. is not withdrawn, the rights granted by Licensor to you under Sections
  329. 1 and 2 automatically terminate at the expiration of said Notice
  330. Period.
  331. c. Reasonable Value of This License. If you assert a patent
  332. infringement claim against Respondent alleging that Licensed Product
  333. directly or indirectly infringes any patent where such claim is
  334. resolved (such as by license or settlement) prior to the initiation of
  335. patent infringement litigation, then the reasonable value of the
  336. licenses granted by said Respondent under Sections 1 and 2 shall be
  337. taken into account in determining the amount or value of any payment
  338. or license.
  339. d. No Retroactive Effect of Termination. In the event of termination
  340. under Sections 9(a) or 9(b) above, all end user license agreements
  341. (excluding licenses to distributors and resellers) that have been
  342. validly granted by you or any distributor hereunder prior to
  343. termination shall survive termination.
  344. 10. Limitation of Liability. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL
  345. THEORY, WHETHER TORT (INCLUDING NEGLIGENCE), CONTRACT, OR OTHERWISE,
  346. SHALL THE LICENSOR, ANY CONTRIBUTOR, OR ANY DISTRIBUTOR OF LICENSED
  347. PRODUCT, OR ANY SUPPLIER OF ANY OF SUCH PARTIES, BE LIABLE TO ANY
  348. PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  349. OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
  350. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND

  359. each party is responsible for claims and damages arising, directly or
  360. indirectly, out of its utilization of rights under this License. You
  361. agree to work with Licensor and Contributors to distribute such
  362. responsibility on an equitable basis. Nothing herein is intended or
  363. shall be deemed to constitute any admission of liability.
  364. 12. U.S. Government End Users. The Licensed Product is a commercial
  365. item, as that term is defined in 48 C.F.R. 2.101 (Oct. 1995),
  366. consisting of commercial computer software and commercial computer
  367. software documentation, as such terms are used in 48 C.F.R. 12.212
  368. (Sept. 1995). Consistent with 48 C.F.R. 12.212 and 48
  369. C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all U.S. Government
  370. End Users acquire Licensed Product with only those rights set forth
  371. herein.
  372. 13. Miscellaneous. This License represents the complete agreement
  373. concerning the subject matter hereof. If any provision of this License
  374. is held to be unenforceable, such provision shall be reformed only to
